Muttik OÜ, hereinafter referred to as the “Service Provider”, on the one hand, and the “Client” on the other hand, collectively referred to as the “Parties”, have entered into this Agreement as follows:

1. SUBJECT OF THE AGREEMENT

1.1. The Service Provider undertakes to provide the Client or a person designated by the Client (hereinafter referred to as the “Student”) with educational services in English and/or German (hereinafter referred to as the “Lesson”).

2. TERMS OF EDUCATION

2.1. Lessons are conducted online using video call software.

2.2. Lessons are delivered according to an individual program.

2.3. The duration of each Lesson is 1 academic hour (45 minutes).

2.4. The term of the Lessons is determined based on the Student’s needs.

2.5. The date and time of the Lessons are agreed upon by the Parties.

3. RIGHTS AND OBLIGATIONS OF THE SERVICE PROVIDER

3.1. The Service Provider shall:

3.1.1. Organize and ensure the proper provision of services as specified in clause 1.1 of this Agreement.

3.1.2. Conduct initial and final testing of the Student and communicate the results to the Client.

3.1.3. Provide the Student with educational materials and literature on a paid basis.

3.2. The Service Provider has the right to:

3.2.1. Record Lessons to track the Student’s language progress.

3.2.2. Reschedule Lessons, giving notice to the Client and/or the Student at least 4 (four) hours before the scheduled start.

3.2.3. Charge for a Lesson if it was rescheduled or canceled by the Client or the Student less than 4 (four) business hours before its scheduled start. Business hours are considered to be from 9:00 to 18:00 Mon–Fri.

3.2.4. Cancel all Lessons without prior notice if the Client fails to fulfill clause 4.1.1. of this Agreement.

4. RIGHTS AND OBLIGATIONS OF THE CLIENT AND STUDENT

4.1. The Client shall:

4.1.1. Pay for the Lessons on time and in accordance with the terms of this Agreement.

4.1.2. Notify the Service Provider of any changes or cancellations of Lessons no later than 4 (four) business hours before the start time.

4.1.3. Ensure the Student attends all scheduled Lessons.

4.1.4. Not contact the teacher outside the dedicated Lesson chat.

4.2. The Client has the right to:

4.2.1. Monitor the organization and quality of the Lessons.

4.2.2. Review the results of the Student’s initial and final testing.

4.2.3. Request a refund for a Lesson if it is canceled by the Service Provider less than 4 (four) hours before its scheduled start.

4.2.4. Apply for an income tax refund from the Estonian Tax and Customs Board for paid Lessons if legally eligible.

4.2.5. If legally eligible and wishing to claim a tax refund, submit a written request to the Service Provider to enter the Student in the Estonian Education Information System (EHIS), including the Student’s full name and personal identification number.

4.3. The Student has the right to:

4.3.1. Use educational materials and literature provided by the Service Provider for educational purposes.

4.3.2. Request a review or adjustment of the lesson plan at any time.

4.3.3. Withdraw from this Agreement at any time, provided that the Service Provider is compensated for any actual expenses incurred.

4.4. The Student shall:

4.4.1. Take the initial test administered by the Service Provider.

4.4.2. Take the final test upon completion of the learning period.

4.4.3. Not contact the teacher outside the dedicated Lesson chat.

5. PAYMENT TERMS

5.1. Payment for the Service Provider’s services shall be made monthly, no later than the 10th day of each month for the current month, based on the issued invoice.

5.2. Payment shall be made via bank transfer to the Service Provider’s account specified in Section 8 of this Agreement.

5.3. Clients seeking a tax refund must provide the Student’s personal data (personal ID code, first name, last name).

6. AMENDMENT AND TERMINATION OF THE AGREEMENT

6.1. The terms of this Agreement may be amended by mutual consent of the Parties or in accordance with Estonian legislation. Amendments and additions must be made in writing.

6.2. This Agreement may be terminated by mutual agreement or in accordance with applicable Estonian law.

7. OTHER TERMS

7.1. This Agreement enters into force upon the start of education and remains in effect until both Parties have fulfilled their obligations.

7.2. For non-performance or improper performance of obligations under this Agreement, the Parties are liable in accordance with Estonian law.

7.3. Disputes arising from the execution of this Agreement shall be resolved through negotiation. If unsuccessful, disputes shall be resolved in court as per Estonian legislation.

7.4. The Client consents to the processing and storage of personal data provided in this Agreement.

7.5. The Client acknowledges and agrees that correspondence related to the organization of education (including messengers, Google Teams, and email) may be used as confirmation of service provision and, if necessary, provided to state or partner organizations (e.g., EHIS, MTA, quality control authorities). The Client also consents to the publication of feedback in anonymous form — without name, avatar, or other identifying data.
